ASC 805 Purchase Price Allocation & Intangible Asset Valuation
Acquisition-date fair value, intangible asset Valuation and review-ready PPA workpapers for U.S. CPA and advisory engagements.
Elite Valuation supports U.S. CPA firms, transaction advisory practices, outsourced CFO teams and Valuation firms with analytical execution for ASC 805 business combinations and purchase price allocation. We can support acquisition-date fair value measurement, identifiable intangible asset Valuation, contingent consideration, inventory and other agreed Valuation workstreams, with roles established at the outset so the U.S. partner retains the client relationship, accounting judgments, review and final sign-off as applicable.

Specialist ASC 805 PPA Valuation Support for U.S. CPA Firms
ASC 805 applies the acquisition method when an acquirer obtains control of a business. Most in-scope items are measured at acquisition-date fair value before residual goodwill or a bargain purchase gain is determined.
The Valuation work can extend well beyond the target's recorded balance sheet, including customer relationships, developed technology, trade names, in-process research and development, contingent consideration and inventory. The exact scope depends on the transaction and any private-company accounting alternatives elected.
Elite Valuation works as an analytical extension of your U.S. CPA, accounting, transaction advisory or Valuation team. We prepare the models, intangible asset analyses and workpapers you agree on, while transaction accounting, policy elections, tax conclusions and report issuance stay with the appropriate U.S. professional or client.
Our ASC 805 Purchase Price Allocation Capabilities
From acquisition-date fair value to intangible asset modeling, support can be scoped around the analytical needs of each business combination.
What Is ASC 805 Purchase Price Allocation?
ASC 805 purchase price allocation is the acquisition-accounting process used when a transaction qualifies as a business combination. The acquirer generally measures identifiable assets acquired and liabilities assumed at acquisition-date fair value, subject to specific U.S. GAAP exceptions. A transaction that does not meet the U.S. GAAP definition of a business is generally an asset acquisition under ASC 805-50.
Assets not recognized on the acquiree's pre-acquisition balance sheet, such as customer relationships, brands, technology and in-process research and development, may need separate Valuation.
Any residual amount is generally recognized as goodwill, while an excess of recognized net assets over consideration can result in a bargain purchase gain after reassessment.

When Do You Need ASC 805 PPA Valuation Support?
PPA Valuation needs arise after qualifying business combinations, during opening balance-sheet preparation and whenever acquired assets or transaction terms require specialist fair value analysis.
Who Needs ASC 805 PPA Valuation Support?

Identifiable Intangible Assets vs Goodwill
ASC 805 requires identifiable intangible assets to be recognized separately from goodwill when the applicable recognition criteria are met. Goodwill is the residual asset representing future economic benefits that are not individually identified and separately recognized.
| Area | Identifiable Intangible Assets | Goodwill |
|---|---|---|
| Recognition Basis | Recognized separately when the asset is identifiable under ASC 805, including when it arises from contractual/legal rights or is separable. | Recognized as the residual future economic benefits from acquired assets that are not individually identified and separately recognized. |
| Common Examples | Customer relationships, trade names, trademarks, developed technology, patents, backlog, contract-based rights and IPR&D, depending on the transaction. | Expected synergies, assembled workforce and other going-concern benefits that do not qualify for separate recognition. |
| Measurement at Acquisition | Measured at acquisition-date fair value using an appropriate valuation technique, subject to applicable U.S. GAAP guidance. | Derived residually after consideration and other required components are reconciled to the fair value of recognized net assets. |
| Typical Valuation Inputs | Asset-specific revenue, attrition, royalty rates, margins, contributory asset charges, useful life, technology obsolescence and discount rates. | Depends on the overall purchase accounting; goodwill itself is not normally valued through a standalone income model in the PPA. |
| Subsequent Accounting | Finite-lived intangibles are generally amortized over their useful lives; indefinite-lived intangibles are subject to the applicable impairment guidance. | Public business entities generally do not amortize goodwill; eligible private companies may elect an accounting alternative to amortize goodwill, subject to the applicable guidance. |
| Relationship | Separate recognition reduces the amount that remains in goodwill and can affect future amortization or impairment patterns. | Captures the residual value after separately recognized assets and liabilities have been measured and the purchase accounting is completed. |
How Are Acquired Contract Assets and Liabilities Treated Under ASC 805?
ASU 2021-08 requires qualifying acquired contract assets and contract liabilities from revenue contracts to be recognized and measured under Topic 606 rather than at acquisition-date fair value. The U.S. accounting team should determine the applicable contract accounting, while the Valuation workstream supports only the items that require fair value or other agreed analysis.
Information Required for ASC 805 Purchase Price Allocation
A well-supported PPA begins with complete transaction documents, opening balance-sheet information, management forecasts, market-participant assumptions and asset-specific data as of the acquisition date.

An India-Based Valuation Partner for U.S. CPA Firms
Elite Valuation is an India-based specialist Valuation and financial advisory firm led by Sagar Shah, a Chartered Accountant (India), Ex-EY professional and IBBI Registered Valuer for Securities or Financial Assets in India. The firm's U.S. outsourcing proposition is built around Valuation-focused analytical support, structured workpapers and a defined division of responsibilities with the U.S. CPA, advisory or Valuation firm.
These Indian professional credentials should not be interpreted as U.S. CPA licensure or as holding U.S.-specific Valuation credentials such as ASA or ABV. Where an engagement requires compliance with a particular U.S. professional, appraisal or reporting standard, that requirement should be identified and agreed as part of the engagement scope. For outsourced U.S. engagements, the scope should clearly identify the accounting framework, the party responsible for professional judgment, and the party responsible for final report issuance or sign-off.
