Gift & Estate Tax Valuation for Closely Held Businesses
Fair market value, ownership-interest analysis and review-ready workpapers for U.S. CPA, tax and estate-planning engagements.
Elite Valuation supports U.S. CPA firms, tax advisers, estate-planning professionals, family-office advisers and Valuation teams with analytical execution for closely held business and ownership-interest Valuations used in gift, estate and related federal tax matters. Support can be scoped around a defined Valuation workstream or a broader analysis, with the U.S. partner retaining the client relationship, tax or legal conclusions, professional judgment and final sign-off as applicable.

Specialist Gift & Estate Tax Valuation Support for U.S. CPA Firms
Gift and estate tax Valuations require more than a company-level value. The analysis must identify the Valuation date, standard of value, subject interest and governing rights.
For FLPs, LLCs and other closely held entities, a transferred interest may not equal its pro rata share of total equity value, so DLOC and DLOM support must reflect its specific rights.
Elite Valuation works as an analytical extension of your U.S. CPA, tax or estate-planning team. We prepare agreed models, interest-level analysis, discount support and workpapers for partner review. Filing positions, tax advice, legal interpretation and final sign-off remain with the U.S. professional.
Our Gift & Estate Tax Valuation Capabilities
From enterprise value to minority-interest discounts, support can be scoped around the analytical needs of each gift or estate engagement.
What Is Gift & Estate Tax Valuation?
Gift and estate tax Valuation determines the fair market value of property or an ownership interest as of the applicable Valuation date.
Fair market value is the price agreed between a willing buyer and a willing seller, neither under compulsion and both with reasonable knowledge of relevant facts.
For gifts, value is set as of the gift date. For estate tax, property is generally valued at the date of death, or six months later under the IRC §2032 alternate Valuation date, but only if that election reduces both the gross estate and the estate tax.
Revenue Ruling 59-60 remains the foundational framework for closely held stock, weighing all relevant facts, including earning and dividend-paying capacity, goodwill and comparable-company evidence.

DLOC vs DLOM in Gift & Estate Tax Valuation
Discount for Lack of Control and Discount for Lack of Marketability address different economic characteristics. Neither discount should be assumed, benchmarked mechanically or applied without analyzing the specific subject interest.
| Area | DLOC | DLOM |
|---|---|---|
| What It Reflects | The economic effect of lacking control over the entity or key ownership decisions. | The economic effect of lacking a ready market or practical liquidity for the ownership interest. |
| Typical Subject Interest | A noncontrolling or minority interest with limited voting, distribution or governance power. | An interest that cannot be readily sold, transferred or converted to cash at its indicated value. |
| Key Facts Analyzed | Voting rights, board or manager control, distribution authority, liquidation rights, transfer provisions and governing documents. | Expected holding period, transfer restrictions, distributions, company risk, volatility, redemption options and likely liquidity paths. |
| Common Support | Interest-specific rights, transaction evidence, market data and control-related evidence where methodologically relevant. | Restricted-stock and pre-IPO evidence, option-based methods and other empirical or analytical support where appropriate. |
| Application | Applied only when the selected valuation framework and subject-interest economics support a lack-of-control adjustment. | Applied only when the selected valuation framework and subject-interest economics support a lack-of-marketability adjustment. |
| Key Caution | Not an automatic percentage and not justified merely because the interest is below 50%. | Not an automatic percentage and not justified merely because the interest is privately held. |
How IRC Section 2704 Can Affect Family-Entity Valuation
IRC Section 2704 can affect the Valuation of certain family-controlled corporation or partnership interests, including specified lapses of voting or liquidation rights and certain liquidation restrictions. It does not create a blanket rule that every family-entity restriction is ignored or that DLOC or DLOM automatically disappears. The entity documents, family control, rights that lapse or remain, applicable restrictions and relevant exceptions must be analyzed for the specific transfer.
Information Required for Gift & Estate Tax Valuation
A well-supported analysis begins with current financial information, entity documents, ownership records and transfer-specific facts relevant to the Valuation date.
